This is a mutual confidentiality contract template. We designed this document for the situation where there are two parties, and each party is disclosing sensitive information to the other party.

The parties' confidentiality obligations are set out in distinct provisions in the contract. In other words, rather than having a clause saying "each party will keep the information of the other party confidential", the contract includes two provisions saying "X will keep the information of Y confidential" and "Y will keep the information of X confidential". Because the confidentiality contract is drafted in this way, you can easily amend it so that each of the parties is subject to different types and standards of obligation.
