Commission Agreements: SelectionWe supply four different commission agreements: a standard template, a template with added confidentiality obligations, a template with added non-solicitation obligations, and a template with both confidentiality and non-solicitation provisions.
In the standard commission agreement template, you will need to define the "trigger events" giving rise to an obligation to pay commission, the "base amount" used to calculate the commission, and the "commission" rate - typically a percentage of the base amount. The template can be used, for example, in relation to an arrangement where one person pays commission to another person in respect of referrals of business.
The commission and confidentiality agreement template contains all the provisions of the standard template. In addition, it includes confidentiality obligations. As drafted, the confidentiality obligations are mutual (i.e. apply to both parties). However, you can adapt the template so that the confidentiality obligations are unilateral.
Similarly, the commission and non-solicitation agreement template contains all the provisions of the standard template plus non-solicitation provisions, which again may be mutual or, with deletions, unilateral.
